1. Scope and Purpose of this Privacy Policy
Upgrade is committed to your online privacy and security. Upgrade, Inc. and its subsidiaries (“Upgrade”, “we”, “us”, and/or “our”) use this Privacy Policy to provide you with information about our Flex Pay by Upgrade service and application (“App”) (the service and App together, the “Service” or “Flex Pay”). We also use it to set out our policy and commitments regarding data collection, use, and sharing for websites and applications that use the Service and reference this Privacy Policy, offer the Service, use the Flex Pay JavaScript tag, our Software Development Kit (SDK) and/or our Application Programming Interfaces (API’s), collectively (“Site” or “Sites”).
Your use of the Service and Sites is subject to this Privacy Policy and to our Terms of Use. A person must be eighteen (18) years or older to use our Services.
2. Information we collect
Personal Information You Provide
If you submit a loan request or receive a loan through Upgrade, we collect personal information such as your name, home address, home phone number, mobile phone number, email address, date of birth, full or partial Social Security number, ID number (e.g., drivers license number), bank account number and/or payment card number. This information may be required to apply for a loan, create an account, and complete your transaction. This information is used to verify your identity, determine eligibility and facilitate your transaction. Additional information may be collected when you contact customer service via SMS, email or telephone.
If you create a profile on our App (“Profile”), we collect personal information such as email and mobile phone number. This information is used to provide log-in credentials, to verify your identity, and to enable your use of the App.
Information We Receive from Third Parties
We may receive information about you from third parties. For example, we work with identity verification services that help us confirm consumer identities in an effort to limit fraud. As part of the credit underwriting process, we will obtain information about you, including your personal information and consumer reports, from credit reporting agencies. If you access the Service through a third-party website, application, referral or connection, that third party may pass certain information about you and your use of its service to us. This information could include a user ID associated with your account, an access token necessary to access that service, any information that you have permitted the third party to share with us, and any information you have made public in connection with that service.
Cookies and Tracking Technologies
Technologies such as cookies, beacons, tags, scripts and Local Storage Objects may be used by the Service to deliver content, remember your settings, better understand how our visitors navigate through the Site, learn what content is being reviewed, and administer the Site. Web browser documentation should be consulted to learn the proper way to modify cookie settings. If a web browser’s settings are set to delete, or not to accept cookies, some of the Service’s features may not work at all or to their fullest potential.
Device and Online Activity Information
Log file information is automatically reported by your browser or mobile application each time you access our Service. For example, when you access a Site, our servers automatically record certain information that your web browser or mobile device sends whenever you visit a website or app. These server logs may include information such as your web request, Internet Protocol (“IP”) address, browser type, operating system, device type, referring / exit pages and URLs, number of clicks, domain names, landing pages, pages viewed, geolocation and other such information.
Analytical and Transactional Information
We may collect additional information directly or using third-party analytics tools. For example, we may need to collect your loyalty number and/or other personally identifying information to fulfill a bonus points offer. We may also collect shopping and transaction information including product SKUs, the payment method, the first 6 and last 4 digits of a payment card, the payment card expiration date, the amount and currency of the transaction, the order confirmation number for the transaction and other details about the purchase.
Do-Not-Track Signals
Uplift does not process or respond to “do not track” signals or other similar signals whereby a visitor to a website requests that it disable collection of information about the visitor’s online activities over time and across different websites.
Survey Information
On occasion, we may seek your feedback through surveys or other mechanisms. Providing feedback in these contexts is entirely voluntary, but if you choose to participate, we may ask you to provide personal information such as your name, email address, and phone number, in addition to your feedback.
Information from Advertisements on Other Websites
We place and track advertisements on third-party websites. Like many advertisers, we advertise our products and services, and we contract with third parties to place advertisements on websites not affiliated with us where we think the advertisements are likely to be most relevant. These advertisements may contain cookies or other mechanisms that allow tracking of your response to our ads. We and our contracted third parties track and report performance of our advertising and marketing campaigns by using cookies, web beacons, and other similar technology, which may be used to collect and store information about user visits, page visits and duration, and the specific ad or link that the user clicked on to visit the site. No personally identifiable information is stored during this process.

If you contact us, you may request information about Upgrade or the Service. When you do, we may ask you to provide personal information with your request such as your name, email address, and phone number. Based on the nature of your request, we may also ask for additional information, such as how you anticipate you will make use of our Service and how you learned about us.
Accessing and Modifying Your Information
You can access, modify, correct, or delete your personal information by accessing your account at upgrade.com/pay or by contacting us as indicated below. We will retain your information for as long as your account is active or as needed to provide you Services. We will retain and use your information as necessary to comply with our legal obligations, resolve disputes, and enforce our agreements.
3. How We Use Your Information
We may use the information we collect for the following purposes:
-To provide, personalize, improve, and promote our Sites or Service, and to develop new products and services; To conduct research, monitor and analyze usage and trends;
-To communicate with you, including for service-related purposes and marketing purposes, and to respond to your requests or inquiries;
-To enforce this Privacy Policy, our Terms of Use, and other terms you have agreed to, and to protect the rights, property, or safety of our Sites, Service, or any other person; and
-Future underwriting.
4. How We Share Your Information
Service Providers and Other Third Parties
We share your information with service providers and other third parties such as identity verification services, credit reporting agencies and other data providers, servicing companies, collection agencies, customer support call centers, hosting and electronic payment service providers to perform functions and process data on our behalf. Some of these service providers and other third parties, such as fraud scoring and analytics providers, may collect information about your online activities over time and across different websites or online services. We may share your information with any of these service providers or third parties to allow them to perform the services they have agreed to provide us. Our service providers are required to keep your information private and secure and adhere to applicable state and federal laws and regulations.
If you check your eligibility or apply for a loan through the Service, attributes about your loan request may be made available to potential investors, service providers and third parties. This information includes non-personally identifiable details about your loan request, as well as your general geographic location, credit grade, and the purpose for which the loan will be used. When you request a loan through Upgrade, your information will be provided to the potential originating bank. Our banking partner(s) will have access to information you provide to us. If you successfully receive a loan through Upgrade, we may also share detailed information about your loan including personally identifiable financial information, terms, payment performance, late payments, delinquency, defaults or collections activity to our investors, lenders, bank partners, loan servicers, referring merchants, travel partners, service providers, subsequent creditors, ratings agencies, credit bureaus and/or consumer reporting agencies.
Other Information Sharing
We may also share your information:
-With the merchant or website on which you use Upgrade’s Services;
-With commercial partners which provide product listings in our App;
-To provide marketing services, including on behalf of our merchant partners;
-To provide customer service, resolve disputes and verify the accuracy of information;
-With third parties in anonymized or aggregate form;
-With any other third party with your consent to do so; or
-With an acquirer, successor, or assignee as part of any merger, acquisition, debt financing, sale of assets, or similar transaction (or as part of the negotiations or due diligence for such transactions).
We reserve the right to disclose your personal information when we believe that disclosure is necessary to protect our rights and/or to comply with a judicial proceeding, court order or legal process served on our Service. We may also share your information with law enforcement or other government agencies as required by law, such as to comply with a subpoena, bankruptcy proceedings or similar legal process or for the purposes of preventing fraud or criminal activity or to protect your safety or the safety of others.
5. Security
We take commercially reasonable steps to protect information from loss, misuse, and unauthorized access, disclosure, alteration, or destruction. To that end, we use certain physical, managerial, administrative, and technical safeguards that are designed to protect the information that we collect and maintain. Please understand, however, that no security system is impenetrable and no method of data transmission can be guaranteed against any interception or other types of misuse. We cannot guarantee the security of our databases, nor can we guarantee that the information that you supply will not be intercepted while being transmitted to and from us over the Internet. In particular, e-mail sent to or from us may not be secure, and you should therefore take special care in deciding what information you send to us via email.
We employ session timeouts to protect your account. You will be logged out of the site automatically after a period of inactivity. This reduces the risk of others being able to access your account if you leave your computer unattended.
In the event that Upgrade possesses, processes, stores or transmits cardholder data on behalf of a customer, Upgrade will take commercially reasonable steps to ensure the cardholder data is secure.
6. Links to Other Web Sites
We are not responsible for the practices employed by websites or services embedded or linked to or from the Upgrade Service or Sites, including the information or content contained therein. Please remember that when you use the App to visit a website or you use a link to go from an Upgrade Service or Site to another website or service, you are visiting a third-party website or service. This Privacy Policy does not apply to third-party websites or services. Your browsing and interaction on any third-party website or service, including those that have a link or advertisement on our website, are subject to that third party’s own rules and policies. Please consult the privacy policies on these sites before you provide them with any of your personal information. You agree that we are not responsible for any third-parties that you authorize to collect, use or share your information. However, third parties (including affiliate networks and other advertisers we partner with for in affiliate network marketing programs) may serve content and advertisements, collect information directly from you when visiting such third-party websites, and place or recognize cookies on visitors’ browsers.
7. Testimonials
We display personal testimonials of satisfied customers on our site in addition to other endorsements. With your consent we may post your testimonial along with your name. If you wish to update or delete your testimonial, you can contact us at privacy@uplift.com.
8. Notifications
From time to time, Upgrade will send you email, text message (data rates apply) or app notifications as confirmations of particular actions you have taken. These are required elements of your transactions on our Service. These required notices are sent typically to notify you of a change in status, such as when you are confirmed as a borrower or for legal or security purposes. For example, certain notifications are sent for your own protection to ensure that no one can make a change to your account without your knowledge, such as confirming the addition of a new email address or linked external bank account. These notifications are sent to you so that you can be assured that no one is making changes to your account without your knowledge. In other cases, these notifications involve changes to various legal agreements or site policies. Generally, you may not opt out of these service-related messages.
You can opt out of receiving text messages by emailing privacy@uplift.com or contacting customer support. We reserve the right to close or limit access to your account should you opt out of the crucial notices that are required to perform the Upgrade Service. You are still responsible for any amounts due even if we close or limit access to your account.
9. Children’s Privacy
We do not knowingly collect personal information from children under the age of 13. If you have reason to believe that a child under the age of 13 has provided personal information to us, please contact us, and we will endeavor to delete that information from our databases.
10. Compliance with State and Federal Laws
This Privacy Policy may not constitute your entire set of privacy rights, as these may also vary from state to state. To be certain of your privacy rights, you may wish to contact the appropriate agency in your state that is charged with overseeing privacy rights of consumers. Certain regulations issued by state and/or federal government agencies may require us to maintain and report demographic information on the collective activities of our membership. We may also be required to maintain your personal information for at least seven years in order to be in compliance with applicable federal and state laws regarding record-keeping, reporting, and audits.
11. International Users
Our Sites and Service are hosted in the United States. If you choose to use them from the European Union or other regions of the world with laws governing data collection and use that may differ from U.S. law, then please note that you are transferring your information outside of those regions to the United States for storage and processing. By providing your information, you consent to any transfer and processing in accordance with this Privacy Policy. We also may subcontract processing to, or share your information with, third parties located in countries other than your home country.
12. Changes to Our Privacy Policy
This Privacy Policy is effective as of the date stated at the top of this Privacy Policy. We may change this Privacy Policy from time to time. By accessing and/or using the Uplift Service after we make any such changes to this Privacy Policy, you are deemed to have accepted such changes. Please refer back to this Privacy Policy on a regular basis.

This section describes how we collect, use and share Personal Information of California residents in our capacity as a “business” under the California Consumer Privacy Act (“CCPA”), and their rights with respect to that Personal Information. For purposes of this section, the term “Personal Information” has the meaning given in the CCPA but does not include information exempted from the scope of the CCPA. We may not be able to process your request if you do not provide us with sufficient detail to allow us to understand and respond to it.
We may need to verify your identity to process your information, access and deletion requests and reserve the right to confirm your California residency. To verify your identity, we may require government identification, a declaration under penalty of perjury or other information. Your authorized agent may make a request on your behalf upon our verification of the agent’s identity and our receipt of a copy of a valid power of attorney given to your authorized agent pursuant to California Probate Code Sections 4000-4465.
